THE DETAILS THAT MATTER
Terms of Service
The rules that apply when you create an account, use Sylas, or buy a paid service.
Effective October 14, 2026
Agreement
These Terms of Service (“Terms”) are an agreement between you and Zephony Software Private Limited, CIN U72900TN2018PTC122965, which operates Sylas (“Sylas”, “we”, “us”, or “our”). When you select the acceptance checkbox and continue, you agree to these Terms. You separately acknowledge our Privacy Policy, which explains our processing of personal data.
If you use Sylas for an organization, you confirm that you have authority to accept these Terms on its behalf. In that case, “you” includes that organization.
Your account
You must be at least 18 years old and legally able to enter this agreement. Keep your account, devices, authentication methods, and connected services secure. Provide accurate information and tell us promptly at support@getsylas.com if you believe your account has been compromised.
Workspace owners and administrators control membership, roles, permissions, and organization data. You are responsible for making sure your use of Sylas and the data you provide complies with law and your organization’s policies.
The service
Sylas provides desktop software and Cloud services for working with company knowledge, including files, version history, collaboration, assistant features, and third-party plugins. Features may vary by plan, platform, region, or release channel. We may improve, replace, or discontinue features, but we will not use a product change to take ownership of your content.
We grant you a limited, non-exclusive, non-transferable, revocable right to use Sylas during the term of this agreement, subject to these Terms. Sylas and its software, design, documentation, and branding remain ours or our licensors’ property.
Your content
You retain ownership of the files, prompts, instructions, and other content you provide. You grant us only the rights needed to host, process, transmit, back up, and display that content to operate Sylas and carry out your instructions. You must have the rights and permissions needed to provide that content and connect third-party services.
Sylas stores your workspace so it can provide backup, synchronization, and collaboration, as described in our Privacy Policy.
You are responsible for keeping an independent copy of content that is important to your business. Sylas is not a substitute for an independent backup. We use reasonable safeguards and recovery procedures, but we do not promise that every file, version, or change can always be recovered.
AI features
Assistant output can be incomplete, inaccurate, or unsuitable for your situation. Review output and proposed changes before relying on them, especially for legal, medical, financial, employment, security, or other high-impact decisions. You remain responsible for decisions, communications, and changes made using Sylas.
To answer assistant requests, Sylas sends the minimum necessary content to third-party AI model providers. They process it under business terms that do not allow them to train on it, and they may keep requests for a limited time to detect abuse before deleting them.
You may use output for lawful purposes, subject to these Terms and any rights of others. Because machine-generated results can be similar across users, output may not be unique.
Acceptable use
You may not use Sylas to:
- Break the law, violate another person’s rights, or process data without required authority or consent.
- Distribute malware, evade security controls, probe systems without permission, or interfere with the service.
- Steal credentials, deceive people, impersonate others, send spam, or facilitate fraud or abuse.
- Reverse engineer or copy Sylas except where applicable law expressly permits it.
- Resell, sublicense, or provide the service to third parties unless we agree in writing.
- Use automated activity that places an unreasonable load on Sylas or bypasses plan, usage, access, or safety limits.
We may investigate suspected misuse and restrict access when reasonably necessary to protect users, Sylas, or others.
Connected services
Sylas can connect to services provided by others, including Google services and AI model providers. Those services have their own terms and privacy policies. You choose whether to connect them and which permissions to grant. We are not responsible for a third-party service’s availability, content, or independent actions.
Paid services
Prices, included usage, billing periods, taxes, and plan limits are shown before purchase. Paid subscriptions renew automatically until cancelled unless the checkout says otherwise. You authorize our payment provider to charge the payment method you select. Refund eligibility is described in our Refund Policy.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
We may change prices or plan limits prospectively. We will give notice before a change affects an existing paid subscription. Non-payment may limit paid features, but it does not give us permission to disclose private content.
Customer publicity
We may use an organization’s name or logo to identify it as a Sylas customer only after an authorized representative gives us separate written permission. Account creation, accepting these Terms, or buying Sylas does not grant publicity rights.
The organization may withdraw any permission at any time by emailing support@getsylas.com. We will then stop new uses and remove the organization’s name and logo from Sylas-controlled digital materials within a reasonable period. Quotes, testimonials, case studies, screenshots, usage details, claimed results, and the names or likenesses of individual users require separate permission. This section does not give us rights to customer content or confidential information.
Confidentiality and feedback
We treat non-public customer content as confidential and use it only to provide and protect the service, follow your instructions, and meet legal obligations. If you send feedback, you allow us to use it without restriction or payment, but we will not attribute it to you or your organization publicly without separate permission.
Ending these terms
You may stop using Sylas at any time and may cancel paid services through the available account or billing controls. You may delete your account through account settings at any time. Deleting it also deletes every workspace you own, as described in our Privacy Policy. We may suspend or end access for a material breach, legal requirement, security risk, non-payment, or conduct that could harm the service or others. Where practical, we will provide notice and an opportunity to resolve the issue.
After termination, your right to use the service ends. Provisions that by their nature should survive, including ownership, confidentiality, payment obligations, disclaimers, liability limits, and dispute terms, remain in effect.
Disclaimers and liability
To the maximum extent permitted by law, Sylas is provided “as is” and “as available”. We disclaim implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise uninterrupted or error-free operation or that assistant output will be accurate.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, anticipated savings, business opportunities, or loss of data.
Our total aggregate liability arising out of Sylas or these Terms will not exceed the greater of (a) all fees paid for the affected service during the twelve months before the event, including amounts paid through Paddle, and (b) ₹10,000. This is one combined cap for all claims arising from the same or related events, not a separate cap for each claim.
The exclusions and cap do not apply where applicable law does not permit a party to exclude or limit liability. Nothing in these Terms limits mandatory consumer rights.
Governing law and changes
These Terms are governed by the laws of India, without regard to conflict-of-law rules. Courts with jurisdiction over Zephony Software Private Limited’s registered office will have exclusive jurisdiction, except where consumer law requires otherwise.
We may update these Terms. We will post the updated date and provide reasonable notice of material changes. Where a change materially reduces your rights or increases your obligations, we will ask you to accept the updated Terms before the change binds you. Changes required by law or needed to address an urgent security risk may take effect sooner with notice where practical.
General terms
Neither party is responsible for delay or failure caused by events beyond its reasonable control, except for payment obligations. If one provision is unenforceable, it will be limited to the minimum extent needed and the rest will remain effective. A delay in enforcing a right does not waive it.
These Terms, the Privacy Policy, and the Refund Policy are the entire agreement about Sylas and replace prior discussions on that subject. You may not assign this agreement without our written consent. We may assign it to an affiliate or successor. Notices to you may be sent to your account email or displayed in Sylas. Legal notices to us must be sent to the address below and copied to support@getsylas.com.
